Terms of Service

1. Your Account

Using the Services requires an account. You agree to keep your account information accurate, complete, and current at all times; we may need it to contact you. You are responsible for keeping your account and password confidential — do not share your credentials or let others use your account. If you know or suspect your account has been compromised, notify us immediately.

2. Your Content

Ownership. Your content is always yours; Sayro does not claim ownership of it. To provide the Services, when you submit content you grant Sayro and third parties acting on its behalf a worldwide, non-exclusive, royalty-free, sublicensable license to access, copy, modify, transmit, store, and otherwise use your content solely to provide, improve, and protect the Services. You represent that such use will not violate any law or infringe any third party's rights.

AI input and output. The Services use large language models and other AI capabilities ("AI Features"). Material you submit (audio, text, etc.) is "Input"; what the Services generate from it is "Output." To the extent permitted by law, you own your Input and your Output, and Sayro assigns to you any rights it may have in the Output. Your dictation data is never used to train models, by us or by any third party.

No warranty on output. AI-generated Output may contain errors, even when it appears detailed and specific. Verify any Output before relying on it; the Services and Output may not reflect correct, current, or complete information.

Similar output. Because of how generative AI works, Output may not be unique. Similar or identical content generated from third parties' materials is not your Output, and you have no rights in it.

3. Restrictions

You may use the Services only as permitted by applicable law (including export-control regulations). You agree not to:

• Violate or circumvent any security or authentication measures;

• Disassemble, decompile, or reverse engineer any part of the Services to access source code, algorithms, or other intellectual property;

• Probe, scan, or test systems for vulnerabilities (except under a bug-bounty program we may offer);

• Interfere with or disrupt any user, host, or network, including by sending viruses, flooding, or spamming;

• Resell the Services without authorization, or purchase them from unauthorized sellers;

• Post or share unlawful content, or content that infringes others' intellectual-property, privacy, or other rights;

• Access the Services or create accounts by means other than our publicly supported interfaces (e.g. scraping or bulk account creation);

• Engage in any form of payment fraud;

• Use the Services to record or transcribe another person's speech without their consent.

Regarding AI Features, you additionally will not (and will not allow anyone else to): use AI Features or Output to infringe third-party rights; use Output to develop, train, or improve any AI or machine-learning model; claim that Output was approved or reviewed by Sayro, or that it is entirely human-created; use AI Features for automated decision-making with legal or similarly significant effects on individuals without adequate human review; or use AI Features for discriminatory, harassing, harmful, or unethical purposes.

We reserve the right, in our sole discretion, to act on violations of these Terms, including removing or disabling content, suspending access, or terminating your account.

4. Our Services

Subject to your payment of applicable fees and compliance with these Terms, Sayro grants you a revocable, non-exclusive, non-transferable, non-sublicensable limited right to access and use the Services in accordance with these Terms. The Services may let you download client software, which may update automatically. If any software component is offered under an open-source license, that license may expressly override parts of these Terms.

5. Beta Services

We may release products and features that are still being tested ("Beta Services"), identified by "beta," "preview," or similar labels. Beta Services may be less reliable than our other services. They exist so we can gather feedback, and by using them you agree that we may contact you for that feedback. If a Beta Service is designated confidential before general release, do not disclose information about it without our permission.

6. Third-Party Services

The Services may operate with APIs and services provided by third parties ("Third-Party Services"), currently including third-party large language models used to generate Output. Your data is never used to train these services and is configured for zero retention by the providers — no storage or use beyond the immediate processing required to deliver the result. Third-Party Services are subject to their own terms; Sayro makes no representations or warranties about them and is not responsible for their operation or for Service availability that depends on them.

7. Sayro's Intellectual Property

As between you and Sayro, the Services are owned by Sayro and protected by copyright, trademark, trade-secret, and other laws. These Terms grant you no rights in the Services, our intellectual property, or others' content within the Services. You agree not to modify, translate, or create derivative works of the Services. We welcome feedback about the Services, but we may use it without any obligation to you, even after these Terms end.

8. Our Rights

To the extent permitted by law, we may at any time and in our sole discretion: (a) change part or all of the Services and their functionality; (b) suspend or discontinue part or all of the Services; (c) terminate, suspend, restrict, or disable your access to part or all of the Services; (d) terminate, suspend, restrict, or disable access to your account or content; (e) change eligibility criteria for using the Services.

9. Privacy

By using the Services, you acknowledge that you have read and understood our Privacy Policy, which describes how we handle your personal information.

10. Paid Services

Payment. Certain parts of the Services are paid or premium ("Paid Services," such as the Pro subscription). We will charge you automatically from the date you sign up and on each renewal until you cancel. For annual plans, we will email you a reminder a reasonable time before renewal. You are responsible for applicable taxes, which we collect where legally required. Mandatory local cancellation-rights laws are not overridden by this paragraph.

Cancellation. Paid Services are purchased through Stripe. You may cancel at any time in the Stripe Customer Portal ("Manage subscription" in your account menu); Paid Services remain effective until the end of the current billing period. Refunds are issued only where legally required. If you fail to pay on time, we may suspend Paid Services.

Payment processor. We use Stripe, a third-party payment processor, to charge the payment method linked to your account. Processing is subject to Stripe's terms and privacy policy as well as these Terms.

Changes. We may change fees effective at your renewal, with reasonable advance notice via in-app notification or email, and you will have the opportunity to cancel before new fees take effect.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with notice, if we reasonably believe you have violated these Terms, your use creates a risk of harm or loss to us or other users, or you have no Paid Services and have not used the Services for twelve consecutive months. We may also discontinue the Services due to extraordinary circumstances, events beyond our control, or legal requirements, with reasonable advance notice where possible; if we do so before the end of a period you have paid for, we will refund the prepaid, unused portion.

Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnity, and limitations of liability) survive it.

12. Warranty Disclaimers

To the maximum extent permitted by applicable law, the Services — including Output — are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Sayro does not warrant that the Services or Output will be timely, uninterrupted, or error-free; meet your requirements or expectations; or be free of viruses or other harmful components.

Some jurisdictions do not allow these disclaimers, so they may not apply to you; they apply to the maximum extent permitted by law. Nothing in these Terms affects your statutory rights.

13. Limitation of Liability

To the maximum extent permitted by law, Sayro is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, resulting from: (a) your access to, use of, or inability to access or use the Services or any Output; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services, including Output; or (d) unauthorized access, use, or alteration of your transmissions or content. Sayro cannot control third-party services accessed through the Services and, to the maximum extent permitted by law, is not responsible for them.

If you are an EU consumer (a natural person acting outside their trade, business, craft, or profession, habitually resident in the EEA or the UK), Sayro is liable under statutory provisions for intent and gross negligence by Sayro, its legal representatives, directors, or other agents.

14. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Sayro and its officers, directors, employees, and agents from all damages, losses, liabilities, costs, claims, fines, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your breach of these Terms; (b) your content; or (c) your violation of applicable law in connection with these Terms or the Services. This obligation does not apply to the extent directly caused by Sayro's breach of these Terms or, for EU consumers, to consequences that were not reasonably foreseeable.

15. Dispute Resolution

Informal resolution first. Before bringing a formal claim against Sayro, you agree to email support@sayro.app describing your claim; we will try to resolve the dispute informally by following up via email, phone, or other means. If we cannot resolve it within 60 days of your first email, either party may initiate formal proceedings.

Forum. Judicial proceedings relating to these Terms or the Services will be brought in courts of competent jurisdiction, and both parties consent to venue and personal jurisdiction there. If the law of your country grants consumers the right to bring disputes in local courts, this paragraph does not affect those requirements.

16. Modifications

We may modify these Terms from time to time and will post the current version on this website. If a modification materially reduces your rights, we will notify you (for example by email or a prominent in-Service notice), possibly specifying a reasonable effective period. Modifications are not retroactive; claims are resolved under the dispute-resolution provisions in effect when they arose. Continuing to use the Services after a modification takes effect means you accept the modified Terms and any price changes; if you do not agree, stop using the Services and cancel all Paid Services.

17. Governing Law

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. Some countries, including EU member states, require agreements to be governed by the law of the user's country; this paragraph does not override those laws.

18. Copyright

Sayro respects the intellectual property of others. We reserve the right, in our sole discretion and in accordance with applicable law, to remove or disable allegedly infringing content and to terminate the accounts of actual, apparent, or repeat infringers, without refund. 19. Authorized Users

You are responsible for all acts and omissions of Authorized Users; any act or omission by an Authorized User that would breach these Terms if taken by you is deemed your breach. You will use reasonable efforts to make Authorized Users aware of the applicable provisions of these Terms and cause them to comply. "Authorized Users" means your employees, consultants, contractors, or agents authorized by you to use the Services under your rights and solely for your benefit.

20. General Terms

These Terms are the complete agreement between you and Sayro on their subject matter and supersede any prior or contemporaneous agreements on it. Our failure to enforce a provision does not waive our right to do so later. If a provision is found unenforceable, the rest remain in full effect, and the provision will be replaced with one that most closely reflects our intent. You may not assign your rights under these Terms; any attempt is void. Sayro may assign its rights to an affiliate, subsidiary, or successor in interest of the relevant business.
